Noha Eissa is a Senior Associate at Sharkawy & Sarhan. She joined Sharkawy & Sarhan in 2016 after graduating from Ain Shams University’s Law School – English Section – with distinction and honor in 2016 and was ranked the second on her class. Noha is also an Assistant Lecturer in the Public Law Department of the Faculty of Law – Ain Shams University. She obtained her LL.M in the fields of Public Law and Private law in 2018 from Ain Shams University. Noha’s practice focuses on Banking and Finance, Capital Markets and M&A, Employment and General Corporate & Commercial.
She regularly acts for DFIs, international investment and commercial banks, and major international corporations on significant and complex transactions which often comprise a cross-border element. Noha was also selected by legal 500 in 2020 for her experience in Banking & Finance as a highly regarded lawyer.
During her first year at Sharkawy and Sarhan, she was leading on the Feed in Tariff project finance advisory work for the European Bank for Reconstruction and Development (EBRD) and other international financial institutions in relation to six solar power generation projects under the Egyptian feed-in tariff program.

The International Finance Corporation (IFC) with other lender on matters of Egyptian law in relation to a loan of up to USD 125,000,000 granted to the Humania Group for the construction of a hospital.

Development Financial Institutions, including EBRD and Islamic Development Bank and other international lenders on financing the Egyptian Feed-in Tariffs program for solar projects. Our work included preparing extensive legal study on the FiT regulatory framework and implementation and advising the DFIs on the security package and negotiating the project agreements with EETC, NREA and the Ministry of Electricity.

EBRD on the financing of Farm Fresh including examining financing agreements from an Egyptian law perspective, drafting movables pledge agreement, and issuing enforceability legal opinion.

CDC Group PLC on matters of Egyptian law in relation to 100,000,000 tier 2 capital facility for commercial international bank of Egypt (CIB).

IFC on the financing of Edita including conducting a limited due diligence on Edita and its subsidiaries in Egypt, reviewing a draft of the loan agreement and the guaranteed agreements prepared by IFC, advising on local issues, and issuing an opinion confirming that the transaction documents are valid and enforceable in Egypt.

Americana Group on the sale of its 100% stake in Greenland Group to Dairy Distributors for Distribution S.A.E., a joint venture owned by Halawa and French dairy group Lactalis. The sale of Greenland was through a bidding process. Sharkawy & Sarhan advised Americana on all phases of the bidding process including conducting and preparing an extensive due diligence on Greenland Group, conducting meetings with bidders to advise on the legal due diligence, drafting and negotiating the Egyptian law sale purchase agreement with the successful bidders and finalizing the sale purchase agreement and other transaction documents with Halawa-Lactalis.

Attijariwafa Bank, a Moroccan leading banking and financial group in Africa on the acquisition of Barclays Bank Egyptian banking business, the work included conducting comprehensive due diligence on the Egyptian bank.
