In January 2023, Esraa was elected to the partnership in the Mergers & Acquisitions practice. She has been part of the S&S team since 2012. Her practice focuses on capital markets and M&A.
Esraa’s practice focuses on the Capital Markets and M&A. She has advised multiple multinational clients on public and private M&A transactions in Egypt (acting for buyers and sellers) relating to Life Sciences, Telecommunications, FMCGs, TMT and Banking sectors, including Saham Group, Vodaphone Group, FrieslandCampina, Americana, Nestle, Attijariwafa bank, Société Générale and EFG Hermes.
Esraa also advises several financial institutions and regulatory bodies on their capital market operations, including the Egyptian Ministry of Finance, LetterOne Technology, EFG Hermes, Proparco and IFC.
Esraa was seconded to a number of S&S clients and relationship firms to work amongst their teams, including Slaughter and May, London in April 2015, EFG Hermes, Cairo in 2017, 2019 and Allen & Overy, Abu Dhabi for three months in 2020.
In 2023, Esraa is recognized by IFLR1000 Middle East Rankings as a “Rising Star”. Also, She was recognized in 2021 by The Legal 500 as a “Recommended Lawyer” for Commercial, Corporate and M&A.

Our work included leading on the drafting and negotiation of the Egyptian law Transaction Documents.
Société Générale on the sale of its stake in National Société Générale Bank to Qatar National Bank Group, the largest financial institution in the MENA region, for a consideration of EUR1.5bn. The transaction was the largest bank M&A transaction in the MENA region after the financial crisis.
The Ministry of Finance on the November 2018 issuance of two new tranches of Eurobonds (i) U.S.$860mn (7.125%), maturing on 10 November 2026; and (ii) U.S.$1,710mn (7.625%), maturing on 10 November 2030, which were listed on Euronext Dublin and approved for trading on its main securities market.
Adeptio AD Investments SPC Ltd. (with Allen and Overy), the group led by Emaar Properties PJSC Chairman Mohamed Alabbar, on its $2.36 billion acquisition of Middle East fast-food operator Kuwait Food Co. (Americana). Esraa was part of the team who performed a full-form due diligence exercise and report on the Egyptian part of Americana Group.
