Lamiaa has more than 20 years of experience in various fields and roles in the legal industry.
Lamiaa is both the head of Sharkawy & Sarhan’s Employment & Social Insurance practice and the Leading Partner of our growing Fintech & Payments practice. She is also an active member of our general corporate team.
Lamiaa handles client matters pertaining to digital regulation, e-signature, doing business online and in brick and mortar, as well as all matters relating to managing the workforce including in the context of M&As.

She works with major corporate institutions and technology companies on various commercial and regulatory projects and legal issues. She has a diversified practice in various areas of the law, which spans corporate law, employment law, M&As, dispute settlement, NGOs, knowledge management and legal automation.

Lamiaa also spearheads the firm’s digital transformation and innovation efforts. She manages our document automation initiatives as well our transition to becoming a more secure environment.

Lamiaa was also selected by IFLR1000 Middle East from 2018 to 2023 as a “Notable Practitioner”.

Representative Experience

Advising Dell Technologies Inc. on the employment law aspects of the sale of its RSA Security Business unit, a cybersecurity and risk management organization, to a consortium led by Symphony Technology Group (STG), the Ontario Teachers’ Pension Plan Board and AlpInvest Partners.

Conducting a due diligence exercise EGP115 million investment by Standard Chartered Bank to acquire 75% of the shares of an Egyptian bank (however, the bank did not go through with the transaction) and participating in drafting the report; advising on purchase by a public offer in the Egyptian Stock Exchange.

Acting for STMicroelectronics, a global leader in electronics and semiconductors serving customers across the spectrum of electronic applications, on the Egyptian law aspects of its acquisition of Canada-based tech developer Riot Micro. Riot Micro is a developer of wireless chips that are meant to build smart objects in the internet of things (IoT).

Advising in the sale of receivables of Siemens based in Egypt to an affiliate in Germany on compliance of sale with Egyptian banking laws, which provide for transactions in foreign currency to be made exclusively through banks; and advise on exchange control restrictions and validity of assignment without notification to assignor’s customers.

Advising clients on a habitual basis on managing their workforce.

Advising a UK payment services provider on the licensing requirements to invest in Egypt and operate a business in remittance of money, e-wallets and management of prepaid cards.

Advising a tech giant on maintaining online store credits and whether that qualifies as electronic wallets under the Central Bank regulations.

Advising a payments systems provider on the legal aspects of launching a new payments product.

Advising a leading e-commerce business operating a marketplace business model on compliance with banking laws and regulations regarding payment processing as well as AML requirements.

Advising a leading regional payment service provider on licensing requirements under the Central Bank regulations pertaining to payment facilitation and aggregation.

US$12 million equity investment by a Saudi economic and development group in a company owning a major investment hospital. Role:  Advise on Egyptian Law issues pertaining to subscription in capital increase, foreign ownership and tax advice; lead and conduct due diligence exercise and drafting report; implementation of subscription in capital increase; reviewing the memorandum of understanding and researching issues regarding control by the investor of major decisions and appointments in the company as well as issues relating to implementation of Islamic banking on company financing.

Advising oil concessionaires such as Apache and RWE DEA on administrative law issues in connection with oil and gas projects, including review of administrative contracts – primarily concession agreements and gas sales agreements.

Advising a leading regional payment service provider on licensing requirements under the Central Bank regulations pertaining to payment facilitation and aggregation.

Advising (with Clifford Chance) a syndicate of Egyptian and international banks led by Societé Generale on the USD 1 billion financing of EAgrium petrochemicals project in Egypt; and subsequently advising the banks on the recovery strategy of the disbursed funds following the nationalization of the project – believed to be the largest project financing in Egyptian history. His work included full due diligence on the project documents (gas supply, usufruct, port concession etc…), reviewing the financing agreements in addition to drafting and perfecting the security package.

Representative Experience

Leading and conducting due diligence exercise and drafting report; drafting documents, EGP90 million equity investment by a Saudi nutrition group in a Borg-El-Arab-based plastic company resulting in 85% ownership by the Saudi group, including preliminary memorandum of understanding, shareholders agreement and escrow agreement; conclude the transfer of title of shares; pledge the remaining shares; provide legal consultations on various issues, with a focus on regulatory issues, including percentage of foreign ownership of banks and exchange controls.

Advising to oil concessionaires such as Apache and RWE DEA on administrative law issues in connection with oil and gas projects, including review of administrative contracts – primarily concession agreements and gas sales agreements.

Conducting due diligence exercise and drafting report for an equity investment for a Kuwaiti investor to acquire the majority of the shares of the Egyptian Saudi Finance Bank and advising on Murabaha agreement and its interpretation and implementation under Egyptian Law.
